Ownership is the dividing line

If the legal owner of a food facility changed, the existing FDA registration cannot simply be edited or renewed under the buyer’s name. The former owner must cancel the registration within 60 calendar days, and the new owner must submit a new registration for the facility. The building, employees, brands, and products can remain unchanged without altering that result. 21 CFR 1.234

Most other changes follow the update path. A new address, facility name, operator, U.S. Agent, trade name, food product category, or activity type generally requires an update within 60 calendar days. Facilities that renewed in 2024 should not wait for the 2026 renewal period to correct older changes. FDA food facility registration FAQ

A useful rule is that maintenance changes stay on the existing record, while a change in legal ownership replaces the record.

Which filing does each change require?

Decision basis: 21 CFR Part 1, Subpart H and the FDA Update Facility Registration guide.
Change since the last registration or renewal Correct action Timing or key check
The facility has a new legal owner Former owner cancels; new owner submits a new registration Former owner must cancel within 60 calendar days. Do not treat the acquisition as an amendment.
Facility name or physical address changed, but ownership did not Update the existing registration Submit within 60 calendar days and reconcile the UFI or DUNS record.
Parent company, operator, agent in charge, U.S. Agent, emergency contact, or trade name changed Update the existing registration Submit within 60 calendar days.
A new SKU, flavor, size, or package was added within an existing food category and activity No new registration solely because the SKU is new Confirm that the existing category and activity selections remain accurate.
The facility began handling a new food category or performing a new activity Update the existing registration Add the category or activity within 60 calendar days.
The registration must change from foreign to domestic, or domestic to foreign Cancel and create a new registration FDA Industry Systems does not permit that classification to be edited.

A sale is not an ordinary registration amendment

The ownership rule applies even when the manufacturing site continues operating without interruption. The buyer does not inherit the seller’s registration merely by acquiring the facility, its assets, or its product portfolio. The former owner’s registration must be cancelled, and the buyer must establish a registration reflecting the new ownership.

If the new owner knows the former registration number, it can include that number when registering. FDA can then contact the former owner to confirm the transaction and cancel the former registration after receiving confirmation or independently confirming the ownership change. The operational risk is treating the acquisition as a company-name edit. A name change under the same legal owner is an update; replacing the legal owner requires the cancellation and new-registration sequence.

Address changes require both an FDA update and clean facility data

FDA Industry Systems permits updates to the facility name and physical address. The updated record must continue to identify the actual manufacturing, processing, packing, or holding location, rather than a headquarters, U.S. Agent, shipper, or mailing-only address.

The facility name and address should also match the facility’s UFI record. FDA currently recognizes the DUNS number as an acceptable UFI and checks the submitted facility name, address, and UFI for consistency. A mismatch can flag the filing for FDA review and delay confirmation. FDA Food Facility Registration instructions

For an address change, the practical filing order is to correct the underlying DUNS information first, confirm the legal name and physical address, and then update the FDA registration. The DUNS and UFI troubleshooting guide explains how to separate a registration amendment from an upstream identifier problem.

FDA food facility registration tracks categories, not individual SKUs

Food facility registration requires the applicable food product categories handled at the facility and the type of activity conducted for each category. It is not a product-by-product listing system. 21 CFR 1.232

As a result, adding a new flavor, package size, or SKU within an already selected category and activity generally does not create a registration change by itself. An update is required when the new product changes the facility’s category selections or what the facility does, such as adding a food category that was not previously handled or adding a packing, relabeling, or manufacturing activity.

No registration update does not mean no other compliance work. A new product can still require label review, importer coordination, and shipment-level Prior Notice. Those obligations should be evaluated separately from the facility record. FDA Prior Notice for food imports

The 2026 renewal does not erase a missed update deadline

The 2026 biennial food facility registration renewal period runs from October 1 through December 31, 2026. A facility that registered or updated its record before October 1, 2026 must still complete the biennial renewal during that window. FDA 2026 registration renewal FAQ

  • If a reportable change occurred more than 60 days ago, correct the record now rather than treating the renewal period as an extension.
  • If a change occurs shortly before or during the renewal period, it can be included with the renewal only if the filing remains within the 60-day update deadline.
  • If ownership changed, the new owner must use the new-registration path. Ordinary renewal is not a substitute.
  • If a new registration is submitted before October 1, 2026, that facility must still renew between October 1 and December 31, 2026.

The distinction matters because an update maintains required information, while renewal keeps the registration active for the next biennial cycle. The 2026 foreign food facility renewal guide covers the separate renewal workflow.

When managed registration support is worth using

FDA Entry Point is the best fit when...

  • A foreign facility changed owners and needs the cancellation, new registration, U.S. Agent designation, and 2026 renewal sequence coordinated without a gap.
  • An address change also created a DUNS mismatch, account-access problem, or registration confirmation delay.
  • The facility added new food categories and needs help determining which FDA registration fields must change.
  • The internal compliance owner is managing multiple markets and wants renewal tracking, FDA communications, and registration amendments under one relationship.

FDA Entry Point handles food facility registration amendments, ownership transitions, U.S. Agent coverage, and renewal tracking for foreign manufacturers. FDA Entry Point food registration renewals and amendments

FDA Entry Point is not a fit when...

  • An experienced internal regulatory team controls the FDA account, PIN, UFI data, and filing calendar and only needs to make a routine update.
  • The sole problem is inaccurate DUNS information. Dun & Bradstreet controls the identifier record, so that underlying data must be corrected before the FDA filing can be cleanly completed.

FDA does not require facilities to hire a third-party registrar. Managed support becomes useful when the work extends beyond entering an address into FDA Industry Systems and someone needs to own the full correction, confirmation, and renewal sequence.

Frequently asked questions

Can a buyer keep the seller’s FDA food facility registration?

No. A buyer cannot simply edit or renew the seller’s registration under the buyer’s name. The former owner must cancel the existing registration within 60 calendar days, and the new owner must submit a new registration reflecting the new ownership. This applies even if the building, staff, production lines, and products remain the same. 21 CFR 1.234

Can we wait until the 2026 renewal to report an address change?

No, unless the renewal will be submitted within 60 calendar days of the address change. Required registration information must ordinarily be updated within 60 days. If the change occurred months or years ago, the record is already overdue for correction. Completing an update before October 1 does not remove the separate requirement to renew between October 1 and December 31, 2026. FDA food facility registration FAQ

Does every new food product require an FDA registration update?

No. FDA food facility registration identifies general food product categories and facility activities rather than listing every SKU. A new flavor, package size, or similar product variation generally does not require an update when it remains within categories and activities already recorded. An update is required when the new product introduces a category or facility activity not currently included. 21 CFR 1.232

Does updating the facility record count as the 2026 renewal?

No. An update and a biennial renewal are separate filing actions. A facility that updated its address, U.S. Agent, contacts, or product categories before October 1, 2026 must still complete renewal between October 1 and December 31, 2026. The registration can otherwise expire even though its information was recently edited. FDA 2026 registration renewal FAQ

What happens if the former owner does not cancel the registration?

The new owner should still submit its new registration and identify the former owner and previous registration number when known. FDA can notify the former owner and cancel the old registration after receiving confirmation or independently confirming that ownership changed. Providing the former registration number helps FDA connect the two records and resolve the obsolete registration. FDA registration field guidance
